(Nasdaq: DEPO) today announced it has entered into a settlement agreement with Actavis, Inc. in Depomed's patent infringement litigation related to Actavis's Abbreviated New Drug Application seeking approval to market generic versions of Depomed's Gralise® (gabapentin) 300 mg and 600 mg tablets. The settlement permits Actavis to begin selling generic versions of Gralise on January 1, 2024, or earlier under certain circumstances.

The termination of the waiting period under the HSR Act satisfies one of the conditions to the closing of the pending acquisition, which remains subject to completion of Depomed's previously announced financing and other customary closing conditions.

Deerfield announced a $375 million debt investment in Depomed, Inc. as part of $575 million facility to support Depomed's $1.05 billion acquisition of the U.S. rights to NUCYNTA(R) from Janssen Pharmaceuticals. Depomed has announced that the Nucynta transaction will more than double its revenue base and that it is immediately accretive to earnings.

Depomed, Inc. (NASDAQ: DEPO) today announced that it has entered into a definitive agreement with Deerfield and Pharmakon Advisors, LP to borrow $575 million. The proceeds of the loan will be used to fund the acquisition of the U.S. rights to the NUCYNTA franchise from Janssen Pharmaceuticals, Inc. which Depomed announced on January 15, 2015. Upon signing the acquisition agreement in January, Depomed placed $500 million into escrow. The escrowed amount and the proceeds of this loan will satisfy the $1.05 billion acquisition price and fees related to the transactions.
