The Company announces today that it has completed the preliminary agreement to sell/spin-off Futureland Properties LLC to a public company. The final agreement will be completed shortly. The agreement calls for new issuance of 25M to 35M shares of common stock at $3 to $4 per share for Futureland Properties LLC, depending on the market conditions and other factors. The agreement value will be verified by a third party CPA firm. After the completion of the agreement, the Company will file an S1 for dividend and capital funds process.
The Company also announces that it will begin the process of share dividend for HempTech Corp by the end of March (Company’s annual financial return and Infrax’s end of third quarter). We could not initiate the dividend process with the advent of the quarterly and annual returns of both companies due to accounting complexities. Initially, the spin-off will include common shares of Infrax Systems.
