Is the audited financials are all what is required for the uplisting or there is a certain revenue and stock liquidity required?

What I know is BCAP has to file the S-1, Form S-1 is an SEC filing used by public companies to register their securities with the U.S Securities and exchange commission (SEC) as the "registration statement under the Securities Act of 1933". The S-1 contains the basic business and financial information on an issuer with respect to a specific securities offering. Im thinking with the audit and the S-1 filing they can uplist with NO problems. Then I think he will file a S-1A to ammend the previous S-1
