Ok, i'm told that ntek cannot, transfer assets out

I've been trying to get clarification on key points.
He seems to be saying gaming will raise money by selling shares of hvel. I could be wrong but getting clarification isn't easy. And since hvel is its own share issuing entity, hvel shareholders and not nteks shareholders will benefit from profits. I just don't see how two different share issuing entities each with separate abilities to issue shares and fund raise can share a pie. I hope this can be explained but it sounds fishy to me and i told him i thought so, while trying to be respectful and appreciative.
Another thing is,
Who determines what is fair book value of gaming division for what he seems to be saying will be the selling of gaming as i have laid out. I'm trying to get him to say outright that hvel won't be sold off, with book value compensation, little as it appears to be right now, at all. I want him to say ntek will remain intact with gaming hvel, and ultraflix.
Another thing is,
I told him about the company squandering its goodwill by announcing 50 movies last month but not delivering.
I told, or rather reminded him, that he announced np1 would be delivered in 2013 while the prototype big funded didn't get delivered till last march.
I hope he has good explanations for these missteps, if he does i will let you know. I hope so, but what i mostly want is for him to say ntek will continue to own hvel, gaming, and ultraflix, and that we as ntek shareholders will benefit from all division profits while screwing out the hvel shareholders. I mean giving the hvel shareholders no profits. Um, i suppose that's the same thing, so you can see how i would be confused at him telling me that ntek shareholders have nothing to worry about.
It's promising that we're being told ultraflix will stay, i hope it gets more promising and we find out how ntek shareholders can benefit from gaming hvel while others, HVEL shareholders, own that entity. I don't see how anything trickles down to ntek from hvel, but I'm not afraid to ask the tough questions.
