New York, NY (PRWEB) December 23, 2014
Aeris Trading Corp is pleased to announce its pending merger with SK3 Group Inc., a publicly traded company in the Over the Counter Markets. The merger is scheduled to close upon the successful transfer of SK3's current operating entity, Medical Greens and all related operations, to a private holding company, along with the assumption of certain SK3 outstanding debt, as previously announced. Aeris Trading Corp. is a holding company with a focus in the venture mining and commodities trade markets. Aeris will be the surviving entity in the merger, which will be undertaken as a reverse triangular merger and will result in SK3 Group, Inc. becoming a private, wholly-owned subsidiary, and Aeris becoming the parent holding company and publicly traded entity.
Ketan Seth, President and Chief Executive Officer of Aeris, commented: "Signing the agreements with SK3 Group is an important milestone in the Company's corporate strategy. This merger will provide further validation of the Company's business model of providing income to shareholders from the secured, asset backed financing in distressed sectors of the economy, specifically, at this point, copper mining.
About Aeris Trading Corp.:
Aeris Trading’s business objective is to take advantage of the lack of debt facilities in distressed industrial sectors to issue highly secure, low risk, high yield debt as a means of providing our investors an above average yield. It will do so by issuing direct loans, buying existing loans, and utilizing hybrid debt equity strategies. The company’s initial focus is on junior mining companies in base metals that have a producing property or a property slated for production in the next 12 months. The junior mining sector is among the most distressed sectors in the international economic scene, even though some metals, such as copper, can be extremely lucrative to mine. Aeris Trading also believes that, in addition to direct lending, they will see incumbent lenders willing to sell debt positions at a very substantial discount.
