SUMMARY NOTICE OF CLASS ACTION SETTLEMENT

TO: ALL PERSONS WHO PURCHASED OR OTHERWISE ACQUIRED AMERICAN DEPOSITORY SHARES ("ADS") OF AMBOW EDUCATION HOLDING, LTD. DURING THE PERIOD FROM AUGUST 5, 2010 THROUGH FEBRUARY 27, 2013, INCLUSIVE AND HELD SUCH ADS THROUGH AT LEAST MAY 16, 2012.

YOU ARE HEREBY NOTIFIED, pursuant to an Order of the United States District Court for the Central District of California, that a hearing will be held on March 16, 2015 at 1:30 p.m. in room 880 before the Honorable Philip S. Gutierrez, United States District Judge of the Central District of California, 255 East Temple Street, Los Angeles, CA 90012 (the "Settlement Hearing") for the purpose of determining: (1) whether the proposed Settlement consisting of the sum of $1,500,000 should be approved by the Court as fair, reasonable, and adequate; (2) whether the proposed plan to distribute the settlement proceeds is fair, reasonable, and adequate; (3) whether the application for an award of attorneys' fees of no more than $375,000 or 25% of the Settlement Amount and reimbursement of expenses of not more than $115,000, and an incentive payment of no more than $1,500 each to lead plaintiff and the two named plaintiffs, should be approved; and (4) whether the Litigation should be dismissed with prejudice.

If you purchased American Depository Shares ("ADS") of Ambow Education Holding, Ltd. during the class period from August 5, 2010 through February 27, 2013, inclusive, and held such ADS through at least May 16, 2012, your rights may be affected by the Settlement of this action.
