THE SHARES OF INCAP CORPORATION TO OBSERVATION SEG

EXCHANGE NOTICE 12 DECEMBER 2014  SHARES THE SHARES OF INCAP CORPORATION TO OBSERVATION SEGMENT Incap Corporation published on 12 December, 2014 a Stock Exchange Release where it announced that "Incap Corporation has on 12 December 2014 received the following notification, in accordance with chapter 11, section 19 of the Finnish Securities Markets Act, of publishing a mandatory takeover bid according to which: Inission AB ("Inission"), a Swedish privately owned contract manufacturer, has on 11 December 2014 acquired 4,522,948 shares in Incap Corporation ("Incap" or the "Company"), a Finnish contract manufacturer in electronics. Pursuant to this, Inission's ownership in Incap has increased from 28,500,000 shares to 33,022,948 shares corresponding approximately to 30.27 per cent of all the shares and related voting rights in the Company. Incap does not hold any of its own shares. As a result of the acquisition of the aforesaid shares, Inission will be obligated to make a mandatory public tender offer for all the other shares and securities entitling to the shares in Incap in accordance with Chapter 11, Section 19 of the Finnish Securities Markets Act.". NASDAQ OMX Helsinki transfers the shares of Incap Oyj to the Observation segment on the grounds of the Rules of the Exchange (rule 2.2.8.2 article (iv)). Rules of the Exchange rule 2.2.8.2 article (iv): "The company is subject to a public bid or a bidder has disclosed its intention to make a bid for the company." The purpose of the observation segment is to alert the market to special facts and circumstances or actions pertaining to the subject issuer or security. The observation segment is a subset of the Official List. Tämän seurauksena Inissionin omistus Incapissa nousi 28 500 000 osakkeesta 33 022 948 osakkeeseen, mikä vastaa noin 30,27 prosentin osuutta kaikista Yhtiön osakkeista ja niiden tuottamista äänistä. Incapillä ei ole hallussaan Yhtiön omia osakkeita. Osakehankinnan seurauksena Inissionille on syntynyt velvoite tehdä arvopaperimarkkinalain 11 luvun 19 §:n mukainen pakollinen julkinen ostotarjous kaikista muista Incapin osakkeista ja osakkeisiin oikeuttavista arvopapereista.". NASDAQ OMX Helsinki siirtää Incap Oyj:n osakkeet Pörssin sääntöjen 2.2.8.2 kohdan (iv) perusteella tarkkailulistalle. Pörssin säännöt 2.2.8.2 kohta (iv): "Yhtiö on julkisen ostotarjouksen kohteena tai ostotarjouksen tekijä on julkistanut aikomuksensa tehdä kyseisestä yhtiöstä ostotarjouksen."
