"As at September 30, 2014, CY*TA Corp. (the “Company”), by and with its wholly owned subsidiary, CY*TA Merger Sub, Inc. (“Merger Sub”), a Nevada corporation and an direct subsidiary of the Company, executed a material definitive agreement (the “Merger Agreement”) with EraStar Inc. and its principals . To complete the closing of the Merger Agreement numerous documents, financial statements and disclosures were required to be exchanged; such documents, Financial Statements and disclosures all as set forth in the Merger Agreement. At this time, Mr. Mailander’s correspondence of October 24th, 2014 (attached as Exhibit) has called into question the veracity and accuracy of any information provided and the likelihood of receiving the currently missing information. Additionally there may be difficulties with the EraStar representations and warranties under the merger Agreement. Cytta, its Officers and Directors and consultants are currently investigating these matters in a manner consistent with their fiduciary duties."
As you can see here Cyta Corp is merding with Cyta Merger Sub. Inc.!!!!!!!! Why are they doing this? Because further in the document you see.... PS This only happened 2 months ago!
"Mr. Mailander states in his correspondence to Cytta, that his clients [EraStar Inc. and its principals] have caused, “The inability of Cytta to properly complete its audit of EraStar due to a number of factors including, but not limited to: obstructionism from EraStar (and now Cytta) affiliates and control persons, and possible misrepresentations concerning EraStar's accounting and financials from these persons.” Cytta appreciates Mr. Mainlander’s honesty and integrity in bringing these serious concerns to Cytta’s attention."
We have not received all of our financial information either, we have been struggling to get what we need to move our company on to the next steps..
As you can see this is exactly what is currently happening to our ticker here (grcu). As seen in our last financials...
"The company anticipates a stock dividend to the shareholders of common stock may take place on or before June 30, 2015, as a result of a public disclosure and agreement made involving a possible friendly take over of the previous company (Triton Distribution Systems, Inc.) by Green Cures Inc. "
As you can also see again from GRCU, exactly what Mailanders other client did to up-list.
"Green Cures management notes that becoming a fully reporting company has been one of management's top priorities, and if successful, management anticipates that this strategic merger will enable Green Cures to become fully a reporting company with the U.S. Securities and Exchange Commission, following which management plans to seek to have the Company's shares traded on the OTC QB or other over-the-counter market. During the next approximately two and a half months, GCI management will seek to obtaining the necessary audited financial statements. Green Cures management anticipates that at closing, GCI will transfer all of its intellectual property and registered marks to Green Cures. Management of Green Cures plans to complete the merger and become fully reporting during the first quarter of the year 2015, after which the Company will seek to have its shares accepted for trading on the OTC QB or other over-the-counter market."
If you look at an old TTDZ financial though, you will see that Tad Mailander has already worked for Lykiardopoulos once before. Could it be Mailander was listed as GRCU's legal counsel on October 30, 2014. Removed 11/05/14 shortly after numerous phone calls from me regarding the Mailander inquisition and a full report I did based on our intentions for Mailander.
