I guess many of us did something we couldn't do??? I retired from a company that had many spin-offs.. A lot of us would sell the shares right after the spin-off.... I guess we weren't able to do this???

This situation is very much like the KATX/BVIG "stock dividend" story. In order to get the dividend (spinoff), shareholders had to hold their KATX for something like 14 months while the insiders dumped their KATX stock, and when the divvy/spinoff was finally issued, the insiders front-ran the other stockholders and drove BVIG into the ground before the other stockholders could even get a fill on their new, suddenly practically worthless BVIG shares. The same story has happened numerous times; that's just the version I'm most familiar with. The various versions differ only in the details. Those of us who have been around this crap for a while have seen all this before.

If Bill manages to get anything done at all, it will be something like that. He's just trying to keep retail shareholders from selling their FITX, in the hope and/or belief that something good will happen later. It won't. I hope somebody halts this mess and/or throws his lying, thieving ass in jail. Or better yet, he gets sent to that special place in hell reserved for pinky CEOs and the people who pump for them.



One area company might be vulnerable, and may not be protected by Safe Harbour, is ommission of fact. By this I mean a company might be found to have mis-represented a fact by omitting certain aspects of that fact. If the investor had known about it they might not have purchased the securities.

The best example would be the often read quote from a company trying to grow a crop and seeking permission from a town to do so "we have all municipal approvals" which is only partially accurate. To be entirely accurate their statement should also have informed the public through statements and press releases and social media, the production capacity would remain constrained unless and or until they successfully applied to have the zoning requirements amended. This would have made it accurate by not omitting facts which had they been known, might have dissauded some from taking the risk of not having the restrictions removed thus rendering the production numbers hypothetical, dependent upon a successful application process. That would be for the SEC to determine if an ommission of fact occured, thus making the public statements misleading.

There may well be a difference between having all municpal approvals and haivng all municipal approvals with certain restrictions which likely would have an effect upon our bottom line.

Every one is saying that Fitx is scam. If I sell it now, I am going to loose money, so I won't sell a single share until next year. I don't care even if it goes down to sub penny land.

But "Bill" and the directors have already SPLIT. Latest word is that "Bill" is still in Dubai and was shown a condo at 29 Blvd. Burj and another at Aquarius Gate today and he's still in Dubai as of tonight Pacific time.

So regardless of reverse split, split valuations, spinoffs, or any other blamecasting trickery, the fact is that "Bill" has already spun himself off and he's SPLIT.

The only things left are the fingerpointing, blame tossing, and lawsuits.

And in Dubai, nobody can touch him or his money. And all the Middle Eastern food is authentic.

And it never snows.

Reminds me of the scene in Kill Bill Vol. 2 when the 80 year-old pimp Esteban Vihaio is asked by Uma Thurman "where's Bill?" and he takes a drag on his cigarette holder and sighs "Ahhh.... Bill.... I can see the attraction. I remember when Bill was only five years old, I took him to the movies. It was a movie starring Lana Turner. "The Postman Always Ring Twice" with John Garfields. And whenever she would appear on the screen, Bill would begin to print and sell more shares to an obscene amount. And I knew from this very moment, that this boy was a fool for pennystock scams. So Smart Money has left and Scared Money as left so that just leaves Dumb Money. Right? Or did Dumb Money already leave as well?
Outside of Bill saying it, is there another legal source. the town has said no one is grandfathered in. There is a great deal of misunderstanding of the legal/lawful nonconforming clause.

In terms of growing, under the old zoning, CEN could grow there but were very limited production wise, and that statute is not affected by any LNC. Still that hinges upon the company being granted the license ahead of the adoption of the zoning amendments.

think it might have been a requirement towards the company forming for the purpose of dba a mj growing operation and would expidite the granting from the government. being the other division has a distribution network it might not be in the best interest of canadian government to grant licence.

On another note. People on here are talking about share structure and valuations of two companies. THIS SPLIT HASN'T EVEN HAPPENED AND I WILL BET NEVER HAPPENS NOR WAS THERE ANY INTENTION OF IT HAPPENING. If you read the PR it is like all others... just about the first sentence has the word intent in it. "Intent" to split. Nothing that we are going to. Sorry but look at real companies when they split they "WE ARE GOING TO SPLIT UP...". Then the disclaimer is pretty telling. It is not the typical disclaimer but actually states not to contact transfer agent, this may never happen, there are no time lines and not sure if the SEC will grant a ticker symbol. People read this and see what it is.

Then as other have asked... Why was it so important for the CEO and BOD to resign immediately? Isn't FITX in middle of it's most major hurdles zoning and MMJ license from HC and the CEO and board resign without seeing this through. Wouldn't it make realistic sense to get this straightened out before departing. The company Cen is still part of FITX. It is not as we speak a separate entity. When documents are filed they are still the same company. These should not only bring up red flags but red flags with flares shooting out of the. There will be no share structure to worry about. WHERE IS THE LICENSE AND ZONING. during the most crucial moments this great CEO was not present at any meeting nor any BOD. That certainly shows great concern for the World's largest MJ facility. WOW!!! this is so obvious. Bill is now left and can now totally avoid any questions. GLTA

Those fees are there because your broker figures you're going to lose that money anyway, so they might as well get a nice chunk of it. Maybe it will even keep you from making such a mistake. Your broker would actually prefer that you make money, but if you're going to piss it away on pinky scams, they might as well have it.

I'm not kidding. I have worked as a broker for a couple of big brokerages, and that's exactly what they are thinking. They don't like that sort of business because people lose money at it, and they don't want the hassle.
