Delaware Court Rules in Kinder Morgan's Favor Regarding Merger Voting Requirements

The Delaware Chancery Court has denied a preliminary injunction sought by plaintiffs who wanted to block the Nov. 20, 2014, vote by Kinder Morgan Energy Partners, L.P. (NYSE: KMP) unitholders on the proposals related to the merger transactions under which Kinder Morgan, Inc. (NYSE: KMI) will acquire all of the publicly held shares/units of KMP, Kinder Morgan Management, LLC (NYSE: KMR) and El Paso Pipeline Partners, L.P. (NYSE: EPB). The Court also agreed with Kinder Morgan by holding: " nder the plain language of the Partnership Agreement, the Merger only requires the affirmative vote of holders of a majority of the outstanding limited partner units, voting together as a single class."

Kinder Morgan to Expand Its Fleet of Jones Act Tankers

Kinder Morgan Energy Partners, L.P. (NYSE: KMP) today announced the closing of an agreement with Crowley Maritime Corporation to purchase two Jones Act tankers for approximately $270 million. The MT Pennsylvania and the MT Florida engage in the marine transportation of crude oil, condensate and refined products in the United States, commonly referred to as the Jones Act trade, and are currently operating pursuant to multi-year charters with a major integrated oil company. The vessels each have approximately 330,000 barrels of cargo capacity and will join Kinder Morgan's existing fleet of five operating tankers. The company previously commissioned the construction of an additional five tankers, which are expected to be delivered between 2015 and 2017. Crowley, a leading operator and technical manager in the U.S. product tanker industry, will continue to operate the vessels. The transaction is expected to be immediately accretive to cash available to KMP unitholders upon closing, which is expected to be effective Nov. 1.

Kinder Morgan Energy Partners, L.P. (NYSE: KMP) today announced that the fully subscribed Sierrita Pipeline has begun service. The approximately 60-mile, 36-inch diameter pipeline provides approximately 200 million cubic feet per day of firm transportation capacity and extends from El Paso Natural Gas' existing south mainlines near Tucson, Arizona, to the U.S.-Mexico border near Sasabe, Arizona. The Sierrita Pipeline interconnects via a new international border crossing with a new natural gas pipeline in Mexico. It will help Mexico meet its environmental goals of converting existing fuel-oil-fired power generation plants to efficient, clean burning natural gas and provide natural gas for future power plants.
