(Nasdaq:CMRX), a biopharmaceutical company developing novel, oral antivirals in areas of high unmet medical need, today announced that it intends to offer and sell, subject to market and other conditions, approximately $105,000,000 of its common stock in an underwritten public offering. In connection with this offering, Chimerix expects to grant the underwriters a 30-day option to purchase up to approximately $15,750,000 of additional shares of its common stock. Morgan Stanley & Co. LLC and J.P. Morgan Securities LLC are acting as joint book-running managers for the offering, and Cowen and Company, LLC, Piper Jaffray & Co. and Stifel, Nicolaus & Company, Incorporated are acting as co-lead managers for the offering. The amendment increases the available borrowing capacity under the credit facility from $500 million to $650 million and reduces pricing from LIBOR plus 107.5 basis points to LIBOR plus 92.5 basis points. The amended facility matures January 2019, with an option to extend maturity to January 2020. The amended facility also includes an accordion feature to increase the facility size to up to $1.0 billion.
