Any discourse between a member of a public company and a non-member whereby information pertaining to the operations of said company is conveyed that has not been made public, is considered "insider information". It is a matter of law that any non-insider communicating with an insider (i.e., CEO) be informed of the insider information rules and afforded an opportunity to accept or decline such information.
Since it is safe to say that a CEO has what is considered insider information, common sense dictates that if you will be speaking to a CEO in a private forum, the CEO offers you the option of accepting or declining the opportunity to discuss matters that have yet to be released to the general public.
Further, as a general rule of thumb, it is wise to give serious consideration to what one makes public when such notices as the quoted above is included.
I just wanted to clear that up.
