Atlanta Gold Issues Shares in Satisfaction of Senior Secured Note Interest

Atlanta Gold Inc. (TSXV: ATG; OTCQX: ATLDF) announces that following receipt of the approval of the TSX Venture Exchange, it has issued 9,006,692 common shares at a deemed price of $0.05 per share in satisfaction of accrued interest on its US$4 million principal amount senior secured notes. Two directors of the Company received, in aggregate, 1,125,835 of the shares issued. All of the shares are subject to a four month hold period expiring January 3, 2015. The TSX Venture Exchange has also accepted the amendments to the senior secured notes and accompanying common share purchase warrants as described in the Company's news release of August 26, 2014.

The Neal Property is contiguous to Forest Service Road 189, 15 miles Southeast of Boise, Idaho, in Elmore County and 45 miles Southwest of the Atlanta Project within the same Trans-Atlanta-Challis fault alignment. The Neal Property and the Atlanta Project have similar geology.

Atlanta Gold Completes Improvement to Road Access to the Atlanta Project

Atlanta Gold Enters into Contract Mining and Financing Agreements

Atlanta Gold Inc. (TSXV: ATG; OTCQX: ATLDF) (the "Company" announced that its wholly-owned subsidiary, Atlanta Gold Corporation ("AGC" , has reached an agreement with Knife River Corporation ("KRC" whereby KRC will contract mine on AGC's behalf, certain patented lode mining claims known as the Neal Property, located approximately 15 miles from Boise, Idaho. Daisy Mining & Land, LLP leased the claims to KRC which then assigned key provisions of the lease to AGC. AGC staked an additional seven contiguous claims on public land that was open to mineral entry. Under the terms of the agreement, KRC will mine and transport the mineralized materials from the Neal Property approximately 23 miles, to KRC's property located on Amyx Lane for crushing and delivery to AGC. AGC will process the materials at the KRC property. In addition to the contract mining and transportation costs, AGC will be responsible for payment of a tonnage royalty of US$3 per dry ton of delivered tonnage and a 3% net smelter return royalty payable to the owner of the Neal Property.

(TSXV: ATG) (OTCQX: ATLDF) (the "Company" today reported that two events in May caused arsenic and iron discharge from the water treatment facility at the Atlanta Project to exceed U.S. Environmental Protection Agency standards. High spring runoff and an uncontrolled release in water flow caused by a ground collapse in the cross-cut behind the bulkhead in the 900 Level adit resulted in water cresting the bulkhead and flushing sediment from the floor of the crosscut and carrying it downstream through the pre-pond solids filters, to the containment ponds. This could be seen as a 12 inch orange line above the normal high water mark on May 17(th). A further surge in water raised the pond surface water over 24" on June 10(th).

Final judgment will be entered in the amount of US$2 million, which AGC expects to pay over a five year period. As previously announced in the Company's news release of August 27, 2013, AGC and all parties to the litigation, including the U.S. Attorney as intervenor, have approved a proposed final Consent Judgment for signature by the Court providing for payment of the penalty in quarterly installments over a five year period.
