Open Bank (OTCBB: OPBK) (the "Bank" , today announced the closing of a private placement totaling $30 million of common stock. The proceeds from the capital raise will be used for general corporate purposes, including supporting the growth of the Bank. The Company issued 5,000,000 shares of common stock, no par value at a price of $6.00 per share. The shares were offered on a best-efforts basis through Keefe, Bruyette & Woods, A Stifel Company ("KBW" , as placement agent, in accordance with a Placement Agent Agreement between the Bank and KBW.

Open Bank (OTCBB:OPBK) today announced a net income of $3.6 million for the first quarter of 2013 and compared to $4.3 million for the first quarter of 2012. The results included reversals of valuation allowances on the deferred tax assets ("DTA" of $2.7 million and $4.0 million for the first quarter of 2013 and the first quarter of 2012, respectively. Excluding such tax benefits, the net income for the first quarter of 2013 was $836 thousand, compared to $279 thousand for the first quarter of 2012.
