Section 1-Registrant’s Business and Operations
Item 1.01 Entry into a Material Definitive Agreement
On September 5, 2014, NWE entered into agreements with Hillair Capital Partners, Ltd. (“Hillair”) and a non-affiliated third party (Purchaser”), wherein Hillair assigned all of the monies owed to it by NWE, in the amount of $1,040,000 (the “Debt”), to the Purchaser and then NWE sold two of its oil and gas leases in Wilson County, Kansas to the Purchaser in exchange for the cancellation of the Debt. The transaction resulted in the elimination of $1,040,000 of debt from our balance sheet and provided a gain on the sale of leases.
