27 November 2012 San Leon Energy Plc Completion of Acquisition of Gas Acreage in Poland Further to the announcement of 6 June 2012, San Leon Energy Plc ("San Leon" or the "Company") announces the issue of 85,425,654 new ordinary shares of €0.05 each in the Company ("Shares") in satisfaction of the acquisition of 75% working interests in three Polish concessions held by Hutton Energy Plc (“Hutton”). Application has been made for the admission to trading on AIM of 85,425,654 new Shares, which is expected to be effective on 3 December 2012 ("Admission"). The new Shares will rank pari passu with the Company’s existing Shares and are subject to certain lock-in arrangements. Rule 2.10 In accordance with Rule 2.10 of The City Code on Takeovers and Mergers, San Leon confirms that as at the date of this announcement, it has in issue and, at Admission, will have admitted to trading on AIM, 1,229,429,904 ordinary shares of €0.05 each (excluding any ordinary shares held in treasury). The International Securities Identification Number ("ISIN") of the San Leon Shares is IE00B3CLK236. In addition, San Leon has a sponsored Level 1 ADR programme for which the ISIN is US79846M1036. Total Voting rights Following Admission, the Company's enlarged issued share capital will comprise 1,229,429,904 Shares, with voting rights. The Company does not hold any Shares in treasury. Therefore the total number of Shares in the Company with voting rights will be 1,229,429,904, which figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FSA's Disclosure and Transparency Rules. In addition, San Leon maintains a blocklisting in respect of a further 10,462,299 Shares to satisfy future requests by holders of exchangeable shares (resultant from San Leon's acquisition of Realm Energy International Corporation) to exchange such shares for new San Leon Shares.
