The FITX Fiasco: Bill Chaaban's Pants Are On Fire
August 27, 2014: We had Creative Edge Nutrition's (FITX) CEO and President, Bill Chaaban, scrambling after our revelation that the law had been broken. Within its August 19th Quarterly Report for the period ending June 30, 2014, FITX disclosed that it had issued more shares than were authorized. Once we publicized this, Chaaban was obligated to do something. He chose to flim flam his way around the problem. We would have had a lot more respect for him had he just said, "Oops! I screwed up. Now let me fix it."

Bill's first response was to post on the company Facebook page that (a) the reported number of shares issued was an error; and, (b) that the Transfer Agent would never be able to issue more shares than authorized. Bill dug himself deeper with these two fabrications. First of all, the overage was reported on three separate sections of the Quarterly Report. Did Bill, whose signature confirmed the correctness of the QR, make three errors? Secondly, the Transfer Agent does not have the responsibility of ensuring that a company stay within its authorized number of shares. When a creditor presents a convertible debt for conversion, it is the Transfer Agent's job to generate a share certificate. If company management is negligent with its issuances, well that not the TA's problems.
In order to humor Mr. Chaaban's ridiculous notion, on August 23rd we had our agent contact Action Stock Transfer, FITX's Transfer Agent. Their policy, as is the case with most TAs, is to not disclose a company's share structure to the general public. We did get the TA, however, to state that the "specific" number of shares outstanding, as shown within the Quarterly Report, was correct.
So the two statements in the one Facebook posting were both lies. Not surprisingly, that posting has since been deleted from FITX's Facebook page. We regret not taking a screenshot and if anybody has one, we'd appreciate having it forwarded to us.
I see a ticket to the grey market in fitx future. jmo

Lloyd’s branches out into commercial marijuana industry

The increasingly profitable commercial marijuana industry is starting to attract a few more market entrants, including several Lloyd’s of London syndicates.
Wellness Medical Protection Group, a Chicago-based unit of Creative Edge Nutrition, is now offering coverage of up to $2 million per occurrence and $2 million aggregate to segments of the commercial marijuana industry.
Written through various Lloyd’s syndicates, which were not identified, the policies cover risks like theft and bodily injury with a typical $5,000 retention. Professional Program Insurance Brokerage is the managing underwriter for the program.
Wellness Medical Protection Group President Edward Kuhn attributed the decision to enter the market to “a lot of premium potential.”
“You could be looking at premium as high as $25 million in the next 12 months,” Kuhn said.
This insurer interest hasn’t always been there, however. As an independent agency owner specializing in covering marijuana operations since 2009, JB Woods of Parker, Colo.-based Greenpoint Insurance has seen market appetite fluctuate greatly over the years.
“When I first started out, it was only boutique underwriting groups that were willing to step out on a ledge,” Woods told Insurance Business. “In the last years, I’ve seen more interest from very, very large groups. It’s pretty interesting because they wouldn’t touch this stuff five years ago—nobody would.
"Now all of a sudden, it’s funny how—with the money flowing—major groups are interested in marijuana."

I agree 10 or 20 Acres isn't gonna do anything. There is large demand for hemp oil. Someone is gonna need alot of land to satisfy the oil demand. IMO
I still say there's a far higher chance of FITX getting halted than there is of their getting a license to produce a controlled substance. The whole outfit is obviously a bunch of con artists, and the people at HC, presumably, are not stupid. They're just slow, like all bureaucrats. The outlook for people holding FITX stock is not good, especially if they buy rallies instead of selling into them like the insiders do.
It's an easy pattern to spot. Put out a PR, sell a bunch of stock. The old pump 'n dump.

Really, it's time for the SEC to shut down Bill's fiasco and suspend this issuer. The blatant lies told by Bill are now piled up to an intolerable level.
FITX needs to be the next suspension on the SEC's list of MMJ scams.
I assumed it had something to do with buying hemp seeds. someone had posted something a few months before he took the trip - figured maybe it gave BILL some ideas.
