The following is the only thing I am aware of that has yet to happen since the PR on Market Wire in January 2013....

"The details of the TORQ merger including new corporate strategies, revenue projections, potential partnerships with U.S. based carriers, and the assignment of a new TORQ management team, will be announced in the coming weeks"....

"167,074,500 shares TO BE ISSUED to the shareholders of Torq Communications, LLC. pursuant to the merger under Section 4(2) of the Securities Act". Agreement and negotiating a "Strike Price" and not picking up the Shares are Two Entirely different things....

It would seem a definative agreement was indeed reached, does not reflect accurately that Mr. McHenry has not paid for TORQ M&A activities....perhapps , your friend Simon Hoyle may be trying to renig on the deal in consumating the merger by not picking up the ~ 167.1 Million Shares....

FYI, a Hand Shake with the Gentleman's Agreement still holds up in Court....You are an Attorney....and you certainly understand that...
