a) Heddle is completely aware that he got into bed with someone who willfully defrauded investors with lies about already making $10/bbl since 2009. A man who admitted to illegally distributing shares and involving his mother and kids in his scheme, and for whom the SEC provided an abundance of evidence to support their allegations that he's a fraudster, or
b) Heddle is truly unaware of these things or thinks they're unimportant and irrelevant. He just believed Bordynuik that his super-duper processors were spectacular and cranking along in spite of all the financial evidence to the contrary. He perhaps wasn't even aware that the processors were sitting idle these past five months, so he wasn't really willfully playing any role in helping to mislead investors. He is just a surprised bystander in all of this despite his role as CEO.
If a) is true, then Heddle himself is knowingly helping Bordynuik to run a scam, even if it's mostly by voluntarily keeping himself in the dark about what's going on inside the company.
If b), then Heddle is completely clueless about the significance of Bordynuik's inability to tell the truth, in spite of having been involved with Bordynuik for some years, and even having been on the receiving end of one of Bordynuik's several sham joint venture "agreements" back in 2010. Heddle just bought JB's story about the processors without asking any of the right questions and ignoring all the bright red flags, and even liked it so much that he thought to himself: "Hmmm. I'm going to put $3M of my own money at risk and become the CEO". Not smart, if true.
