I don't want to sound stupid, but approximately 180 common shareholders owning 1.2B shares voted to freeze the share structure. This was the amendment put forward by Management who is the largest Preferred shareholder.
If someone has the draft Amendment they can look up the number of Preferred shares Matt Dwyer owns. I don't recall the number, but it was at the bottom of that document.
Other than that, read the By-Laws as understand the vote was valid in BCAP's case.
Having said that: a vote doesn't change the revenue outlook. This is the discussion I had with Pharaoh a month or so ago. I believe he, I and everyone else will tell you the final proof of success is BCAP generating revenues and profits.
