NASDAQ OMX Files Form 8-K Announcing Entry into a Material Definitive Agreement
On May 29, 2014, NASDAQ OMX filed a Form 8-K with the U.S. Securities and Exchange Commission (the “SEC”) disclosing the entry by NASDAQ OMX and Wells Fargo Bank, National Association (the “Trustee”) into a Second Supplemental Indenture to the Indenture, dated June 7, 2013, between NASDAQ OMX and the Trustee. The Second Supplemental Indenture relates to NASDAQ OMX’s 4.25% Senior Notes due 2024.
The Form 8-K also attaches a press release issued by NASDAQ OMX announcing the closing of its $500 million public offering of the 4.25% Senior Notes due 2024.
