A R/S would not be a benefit in any way shape or form, unless it was for an uplisting to nasdaq or a higher exchange. The best and most viable solution for BMSN share structure would be a share buy back and retirement and then a corresponding reduction in the A/S.

The only way for this to happen would be to generate cash....but how can they do that?

Simple....you either have to have free cash flow from operations (which they do not and wont for a while), or sell something for Cash.

The only viable asset they have that could generate cash would be REGEN shares. They could sell 5-10M of the 30M regen they still own in a private transaction prior to it going public (ticker assigned) at hopefully $1 to $2 a share. Take those funds and buy back BMSN shares on the open market then retire them.

At the same time, issue themselves preferred shares of REGEN for say $1m, which will keep BMSN as having control of REGEN, and pump $1M of cash into REGEN for operations so as to eliminate the need to dilute REGEN at all and keep it as the GOOD BANK.

This would have to happen prior to REGEN going live as if it trades in $'s, the price of BMSN would go up accordingly at a rate of .01 for every $1 of regen....BMSN would need to buy back at current PPS levels all the way up to say .01, hopefully scooping back in about 1B - 1.5B of the O/S and then retiring them.

This plan would be a win, win, win for all!!! All it would take is a private buyer willing to put in about $10M, as well as get option on future REGEN shares at reasonable strike price (which upon exercise would also pump additional funds directly into REGEN).

That would be my plan!
