In this final tranche, the Company issued 1,900,000 shares (each a "Share" of the Company at a subscription price of $0.50 per Share, for gross proceeds to the Company of $950,000 (the "Private Placement". The Company previously announced the closing of the first and second tranches of the Private Placement on March 20, 2014 and March 31, 2014, respectively.
