8-K issued is copy of agreement without Exhibits or Schedules mentioned in report. This not unusual. However, without exhibits and schedules, it isn't possible to draw a complete picture. One exhibit describes the rights and preferences of the preferred shares -- key information. Two schedules define shares that can be issued after date of agreement pursuant to exceptions, also important. Another schedule lists IP.
