Baron Capital is amending its By-laws to include a provision banning any increase to the Authorized shares or a Reverse Split of its Common stock until July 1, 2014. A copy of the Consent Letter is available on the Company's website. Broadridge will complete the mailing and tally the number of shares that give their consent for the action to move forward.

Baron Capital was created to service small-cap markets, valued at over $100 billion dollars through the OTC market on an annual basis, but Wall Street is backing away.
