I have not been a shareholder for quite a while now and I have no intention of becoming a shareholder once again until at the very least I am able to navigate to EDGAR (SEC website) and read an AUDITED 10-K filing with AUDITED FINANCIALS!
Somehow the company got to "fully reporting" status by way of the FINRA approval and uplist to the OTCQB but alas, shareholders are still missing that elusive AUDITED 10-K filing on SEC's EDGAR!!
Where is it?!
The company just filed an NT-10K form which is a notice that there was a delay in filing the 10K on time and so the company is requesting a time extension.
This elusive 10-K has been "expected" now for multiple years and it so far has not been produced for shareholders to read on the SEC website. IMO there is no excuse for management at this point. I for one will not even consider any kind of share ownership in RFMK so long as there is no audited 10K filing on the SEC website.
We have witnessed the recent share price spike up to a penny and the increased volume, and there has been a very positive shareholder update just the other day so perhaps the company is making positive forward progress but investors cannot know for certain about anything until there is an AUDITED 10K filing on the SEC website. Period.
Until then, it is all forward looking statements, "imminent" product launches, great things "expected" to come "soon" and so forth. As for the fluctuations in the stock prices, there is no telling what forces are at work in drawing the PPS chart over the last month or two. The 200 day moving average still hovers at $0.0014, just a few ticks from par value ($0.001) and there is no guarantee that the stock would or could remain above the 200 day moving average over the next thirty days or longer. The MACD is trending downward and the A/D line has been moving down ever since the beginning of February, indicating distribution of stock, as well as the O/S moving ever higher from 3B shares to about 3.4B shares as of last contact from the old T/A. There was a switch to a new transfer agent recently and from what I understand no one has yet been able to verify the share structure from the new T/A which is not a good situation for investors. Volume once again appears to be dwindling so for the traders out there I would suggest using caution because we have seen over the months and years what seems to happen when the intra-day volume moves down and it tends to become a very sad state of affairs for the stock price.
I am a long term value investor so I simply focus on the company fundamentals and do not pay too much attention to the short term fluctuations of the stock prices, so I for one am simply waiting and have been waiting for years to take a gander at the elusive and alleged audited 10K which is "expected" to be "imminently" coming "soon", but I guess we shall see what happens.
