The Board of Limarko laivininkystes kompanija AB (company code 140346648) on its own initiative decided to convene the Annual General Meeting (hereinafter – the Meeting) at 11:00 on 30 April 2014 at the premises of the Company at Naujoji Uosto str. 8, Klaip?da.
Shareholder’s registration date – 23 April 2014. The persons who are shareholders of the Company at the end of the shareholder’s registration date or authorized persons by them, or the persons with whom an agreement on the disposal of the voting rights is concluded shall have the right to attend and vote at the Meeting.
Agenda of the Meeting:
1. Company’s Annual Report for the year 2013;
2. Audit report for the year 2013;
3. Approval of Company’s financial statements for the year 2013;
4. Appropriation of profit (loss) for the year 2013;
5. Regarding the ratio of equity and authorised capital.
The Company shall not provide the possibility to participate and vote at the Meeting through electronic communication means.
Draft resolutions for each item of the agenda, documents to be submitted to the Meeting and other information related to the exercising of the Shareholders’ rights will be made available on the website of the Company http://www.limarko.com , section “Investors” not later than 21 days before the Meeting. This information will also be made available for the shareholders at the premises of the Company (Naujoji Uosto str. 8, Klaipeda) on working days from 8:30 to 17:30. Shareholders with at least 1/20 of all votes have the right to propose additional items for the agenda of the Meeting, together with draft resolutions regarding each additionally proposed item, or in case no resolution is required – the explanation.
Shareholders with at least 1/20 of all votes have the right to propose new draft resolutions on the items included or to be included in the agenda of the Meeting, additional candidates to the members of the Company's managerial bodies.
The shareholders have the right to present to the Company questions relating to the items of the agenda of the Meeting.
The procedure of exercising of the shareholders’ rights to propose additional items for the agenda, propose new draft resolutions for the items in the agenda, present questions relating to agenda items in advance shall be provided on the website of the Company http://www.limarko.com , section “Investors”.
During the registration to attend the Meeting the shareholders or the authorized persons shall submit a document which is a proof of his/her identity. The shareholders’ authorized persons shall submit the power of attorney duly endorsed in accordance with applicable rules. The power of attorney issued by the natural person shall be notarized. A power of attorney issued in a foreign state must be translated into Lithuanian and legalised in the manner prescribed by law. The form of the power of attorney can be obtained at info@limarko.com .
Shareholder, holding shares in the Company in his own name, but for the benefit of other persons, must, before voting at the Meeting, to disclose to the Company the identity of the final customer, the number of shares that are put to the vote and the content of the voting instructions submitted to him or any other explanation regarding the participation agreed upon with the customer and voting at the Meeting.
Shareholder shall also have the right to authorise by electronic communication means other person (natural or legal) to participate and vote at the Meeting on his/her behalf. The power of attorney issued through electronic communication means and notice regarding the power of attorney issued through electronic communication means shall be sent to info@limarko.com by 17:30 of 29 April 2014.
Each shareholder or representative thereof shall have the right to cast his/her vote in advance in writing by completing a general ballot paper. The general ballot paper form shall be made available on the website of the Company http://www.limarko.com , section “Investors” not later than 21 days before the Meeting. Upon the request of the shareholder in writing, the Company shall send a general ballot paper by registered mail free of charge or hand it in person against signature no later than 10 days before the Meeting. The completed general ballot paper shall be signed by the shareholder or his/her representative. In case the ballot paper is signed by the shareholder’s authorised representative, such person shall also provide the document confirming the right to vote. The ballot paper and the document confirming the voting right (if required) shall be submitted by registered mail to Limarko laivininkystes kompanija AB, Naujoji Uosto str. 8, Klaipeda or by handing against signature at the Company. The ballot paper must be received by the Company before the Meeting.
Information required by Article 26 2 of the Company Law shall be made available on the website of the Company http://www.limarko.com , section “Investors” not later than 21 days before the Meeting.
