Pro: If it were possible, there are two questions from a list of questions I would put to Mario Barrera and John F. Burke, both of AEGY, before the SEC does.
The first question is: Why do current AEGY fins filed with SEC claim, "Mario Barrera currently is our Chairman, President and CEO and sole officer" when, in the same documents, John F. Burke co-signs as AEGY Principal Accounting Officer and, in one section, refers to himself as "the registrant's other certifying officer"?
If there are, in fact, two officers at AEGY (Berrara and Burke), why the unequivocal statement: "Mario Barrera currently is our Chairman, President and CEO and sole officer"?
The second is: Why did CEO Mario Barrera claim before the SEC in AEGY 8-K of Feb 10, 2014 that: "Mr. (Michael) Gelmon resigned all positions with the Company as of early May, 2013, long before the "cease trade order" was issued and is not now affiliated in any way with Registrant"?
In fact, Michael Gelmon is Director, President, and Secretary of Novation Consulting Services, Inc., the firm that, since December 2012, continues to provide "necessary services' to AEGY. Furthermore, John F. Burke, Treasurer of Novation Consulting Services, Inc., is Consulting Principal Accounting Officer at AEGY and co-signs the SEC filings. Indeed, there are no paid employees at AEGY; the firm is operated by consultants. How is it possible, then, that Michael Gelmon is not now affiliated in any way with AEGY?
AEGY: "Currently, we have no paid employees, full or part-time, and rely on paid consultants to provide necessary services."
AEGY: "In May 2013, Novation Holdings, Inc. (Gelmon) sold its controlling interest in the Company to iEquity Corp., an unrelated party, and we re-located out offices to Boca Raton, Florida.
AEGY: "We have entered into a consulting agreement effective December 31, 2012 with Novation Consulting Services, Inc. (Gelmon), which remains in effect.
