I can just hear the telephone conversation between Matt Dwyer and the MM's after the vote freeze and the S-1 completion:
MM: We need you to issue some shares so we can cover our FTD's in $BCAP.
Matt: Sorry, but there's nothing I can do. The shareholders voted to freeze the share structure until July 1, 2014 and $BCAP's By-Laws have been amended.
MM: (silence)
