Is it possible that the deal is for $40 million in

Is it possible that the deal is for $40 million in shares and they will get $40 million worth of shares and that number was just the number of shares to equal 40 million on the day of the deal? Not trying to be a party pooper but I have re read the deal several times as well as the 8k and that is how I am interpreting right now? Would love for someone to tell me I am wrong.
