The 09/28/2012 PR specifically made reference to starting the S-1 registration process in mid-October.
For the S-1 to begin, the audits need to be well underway -- hence the timeline on the 2011 draft audit documents (no point meeting with Counsel unless the auditor has everything they need and are at least mid-way through the audit process).
The 2011 draft audit documents are now being sent after all the other QB files were updated and merged. I assume there were a couple of last minute merges required with this file too. That should reduce costs and speed up the timeline on the overall audit process. Also means that going forward we should see a faster turnaround on the 10-Q's + 10-K's.
The voting freeze also deals with a couple of requirements for the S-1: # shareholders, shows the distribution of shares (major and minor owners).
Matt is pulling the whole S-1 registration together very cost-effectively.
Time to understand $BCAP is fundamentally changing. Within a few weeks the audit will be complete in addition to the company being Pink Current. S-1 will begin and on the virgin shell, a TA will be acquired and an S-1 filed. Also note that we are now into month 11 with no dilution of any kind and the share price is slowly moving up.
