(the "Company") (NYSE: CYH) today announced the completion of the previously announced cash tender offers by its wholly owned subsidiary, Health Management Associates, Inc. (the "Issuer"), for any and all of the Issuer's $400 million aggregate principal amount of 6.125% Senior Notes due 2016 (CUSIP No. 421933AH5) (the "2016 Notes") and $875 million aggregate principal amount of 7.375% Senior Notes due 2020 (CUSIP No. 421933AL6) (the "2020 Notes" and, together with the 2016 Notes, the "Notes") then outstanding. The tender offers expired at 11:59 p.m., New York City time, on February 6, 2014 (the "Expiration Time").

Effective Jan. 27, 2014, Health Management was acquired by Community Health Systems. Borrowings under the bank facility were paid down and the agreement was cancelled; most of the rest of the existing debt has been refinanced.

Community Health Systems, Inc. (NYSE: CYH) ("CHS") and Health Management Associates, Inc. (NYSE: HMA) ("HMA") announced today that they have reached an agreement with the Federal Trade Commission ("FTC") which will allow CHS to complete its acquisition of HMA. Under the terms of the agreement, CHS is required to divest two acute care facilities and related outpatient businesses currently owned by subsidiaries of HMA: Riverview Regional Medical Center, a 281-bed hospital located in Gadsden, Alabama, and Carolina Pines Regional Medical Center, a 116-bed hospital in Hartsville, South Carolina. CHS does not expect these divestitures to have a meaningful impact on the combined company's financial operations or cost-savings. The completion of the HMA acquisition is not contingent on the immediate divestiture of these facilities, but the divestitures are required to be completed no later than six months after the FTC's order is issued. Approval for CHS's acquisition of HMA has also been received from the West Virginia Health Care Authority with respect to HMA's facility in Williamson, West Virginia.

The government has intervened in eight False Claims Act lawsuits against Health Management Associates Inc. (HMA) alleging that HMA billed federal health care programs for medically unnecessary inpatient admissions from the emergency departments at HMA hospitals and paid remuneration to physicians in exchange for patient referrals, the Justice Department announced today. The government also has joined in the allegations in one of these lawsuits that Gary Newsome, HMA's former CEO, directed HMA's corporate practice of pressuring emergency department physicians and hospital administrators to raise inpatient admission rates, regardless of medical necessity. HMA operates 71 hospitals in 15 states: Alabama, Arkansas, Florida, Georgia, Kentucky, Mississippi, Missouri, North Carolina, Oklahoma, Pennsylvania, South Carolina, Tennessee, Texas, Washington and West Virginia.
