Read the Q carefully. There were two shells acquired in September:
'In September the Company acquired a second private entity with 45 shareholders to be used with a client the Company is close to securing."
One shell houses the TA / Brokerage etc. and was PR'd on 09/21/2012-- this second one is a "client" virgin shell. Means $BCAP will be performing a R/M and S-1 for an unnamed client in the near future.
