The Plan was approved on January 15, 2013 by its Board of Directors and on April 8, 2013 by written consent of stockholders holding over 50% of our issued and outstanding common stock (par value $0.10 per share) (the "Common Stock"). In accordance with the Delaware General Corporation Law ("DGCL") notice of these actions is being sent to all Alpine stockholders of record. We anticipate filing a Certificate of Dissolution with the Secretary of State of Delaware, which will be the effective date of dissolution under the Plan (the "Effective Date"), on April 29, 2013.
