The Alpine Group, Inc. ("Alpine") (PINKSHEETS: APNI) announced that it has adopted a Plan of Complete Liquidation and Dissolution of the Corporation (the "Plan"). The Plan was approved on January 15, 2013 by its Board of Directors and on April 8, 2013 by written consent of stockholders holding over 50% of our issued and outstanding common stock (par value $0.10 per share) (the "Common Stock"). In accordance with the Delaware General Corporation Law ("DGCL") notice of these actions is being sent to all Alpine stockholders of record. We anticipate filing a Certificate of Dissolution with the Secretary of State of Delaware, which will be the effective date of dissolution under the Plan (the "Effective Date"), on April 29, 2013.
