Press Release February 27, 2014 Extra bolagsstämma tillika andra kontrollstämma har hållits i Russian Real Estate Investment Company AB (publ) Extraordinary general meeting as well as second meeting for liquidation purposes has been held in Russian Real Estate Investment Company AB (publ) Den 27 februari 2014 har extra bolagsstämma tillika andra kontrollstämma avhållits i Russian Real Estate Investment Company AB (publ) ("Ruric" eller "Bolaget"). På stämman framlades en kontrollbalansräkning utvisande att det egna kapitalet uppgår till minst det registrerade aktiekapitalet. Den extra bolagsstämman beslutade att Ruric ska fortsätta bedriva sin affärsverksamhet och följaktligen inte gå i likvidation. On 27 February 2014, an extraordinary general meeting as well as second meeting for liquidation purposes has been held in Russian Real Estate Investment Company AB (publ) ("Ruric" or the "Company"). A balance sheet for liquidation purposes evidencing that the shareholders' equity amounts to the registered share capital was presented at the meeting. The extraordinary general meeting resolved that Ruric shall continue its business operations and accordingly, not go into liquidation. Den extra bolagsstämman beslutade även om vissa ändringar av Bolagets bolagsordning, om godkännande av förvärvet av aktier i Grechetto Holdings Limited samt vissa fordringar samt om apportemission av aktier. The extraordinary general meeting also resolved on certain amendments to the Company's Articles of Association, to approve of the acquisition of shares in Grechetto Holdings Limited and certain claims as well as on a new share issue with payment in kind. Beslut om apportemission av aktier har fattats i enlighet med styrelsens förslag till apportemission. Styrelsens förslag till apportemission har offentliggjorts den 13 februari 2014 och hålls tillgängligt bland annat på Bolagets hemsida www.ruric.com. De väsentliga delarna av den extra bolagsstämmans beslut om apportemission av aktier följer nedan. The resolution on a new issue of shares with payment in kind was taken in accordance with the Board of Directors proposal on a new issue of shares with payment in kind. The Board of Directors proposal on a new share issue with payment in kind was published on 13 February 2014 and is held available, among other places, on the Company's website www.ruric.com. The principal terms and conditions for the issue follow below. 1. Styrelsen föreslår att stämman fattar beslut om emission av högst 142 101 739 nya aktier av serie B. Slutligt antal emitterade aktier ska baseras på en total emissionslikvid om 87 322 492,01  kronor, vilket motsvarar apportegendomens bedömda värde. The Board of Directors proposes that the meeting resolves on a new share issue of not more than 142 101 739 new shares of class B. The final number of shares to be issued shall be based on a total consideration of SEK 87,322,492.01 which corresponds to the estimated value of the assets contributed. 2. Vid ett utgivande av det högsta antal aktier som anges ovan kommer bolagets aktiekapital att ökas med högst 87 322 492,01 kronor till 167 322 492,01 kronor. A new issue of the maximum number of shares set out above will result in a share capital increase of not more than SEK 87,322,492.01 to SEK 167,322,492.01. 3. Teckningskursen ska sättas till aktiernas kvotvärde, 0,61450685 kronor. Teckningskursen har satts till aktiernas kvotvärde mot bakgrund av att den handel som sker i Bolagets aktier, som är noterade på NASDAQ OMX First North, sker till en nivå som ligger under aktiernas kvotvärde. För det fall den volymvägda genomsnittskursen för Bolagets aktier på NASDAQ OMX First North under perioden från och med den 13 februari 2014 till och med den 26 februari 2014 överstiger aktiernas kvotvärde ska teckningskursen istället motsvara den sålunda beräknade volymvägda genomsnittskursen för sagda period. Styrelsen har den 27 februari 2014 meddelat att den slutliga teckningskursen ska vara 0,61450685 kronor. The subscription price shall be set at the shares quota value, SEK 0.61450685. The basis for the calculation of the subscription price is that the Company's shares, listed on NASDAQ OMX First North, are trading at a price per share which is lower than the quota value. If the volume weighted average price for the Company's shares on NASDAQ OMX First North during the period from 13 February 2014 (inclusive) to 26 February 2014 (inclusive) exceeds the quota value of the shares, then the subscription price shall instead correspond to that volume weighted average price during said period of time. The board of directors has on 27 February 2014 announced that the final subscription price shall be SEK 0.61450685. 4. Rätt att teckna de nya aktierna ska, med avvikelse från aktieägarnas företrädesrätt, endast tillkomma Highton Limited och Melekess Invest Limited. Skälet till avvikelsen från aktieägarnas företrädesrätt är att betalning ska ske genom apport. Right to subscribe for the new shares shall, with deviation from the shareholders' preferential rights, only fall upon Highton Limited and Melekess Invest Limited. The reason for the deviation from the shareholders' preferential rights is that payment shall be made in kind. 5. Överteckning kan inte ske. There can be no oversubscription. 6. Teckning av de nya aktierna ska ske senast den 28 februari 2014. Styrelsen ska dock ha rätt att förlänga teckningstiden. The new shares shall be subscribed for not later than 28 February 2014. However, the Board of Directors shall have the right to extend the subscription period. 7. Betalning för de nya aktierna ska ske genom tillskott av 50 % av aktierna i Grechetto Holdings Limited, org. nr. HE 208926, samt överlåtelse av fordringar på Grechetto Holdings Limited och "Litera" LLC. Betalning ska ske i samband med teckning. Payment for the new shares shall be made by transferring 50 per cent. of the shares in Grechetto Holdings Limited, reg. no. HE 208926 to Ruric and the transfer of claims on Grechetto Holdings Limited and "Litera" LLC. Payment shall be made in connection with the subscription. 8. De nya aktierna ska berättiga till utdelning första gången på den avstämningsdag för utdelning som infaller närmast efter det att de registrerats i Bolagets aktiebok hos Euroclear. The new shares shall entitle the holder to dividend for the first time on the first record date for dividend following registration of the new shares in the share register maintained by Euroclear. 9. De nya aktierna kommer att omfattas av det omvandlingsförbehåll (4 kap. 6 § ABL) som följer av bolagsordningen. The new shares will be subject to the conversion clause (Chapter 4 Section 6 of the Swedish Companies Act) in the articles of association. 10. Det föreslås att stämman bemyndigar styrelsens ordförande att vidta de smärre justeringar i ovanstående beslut som kan visas erforderliga i samband med registrering av beslutet hos Bolagsverket. It is proposed that the chairman of the board of directors shall be authorised to make such minor adjustments in this resolution that may be required in connection with the registration with the Swedish Companies Registration Office. Skälen för styrelsens förslag om apportemission / The reasons for the Board of Directors' proposal on a new share issue with payment in kind Förvärvets syfte är att ge Bolaget kontroll över 100 % av aktierna och rösterna i Grechetto och därigenom indirekt förvärva kontrollen över Litera. Detta möjliggör för Bolaget att konsolidera Grechetto och Litera och därigenom även Fontanka 57-Projektet, och även kontrollera beslutsfattandet rörande den fortsatta utvecklingen och andra alternativ. The purpose of the transaction for the Company is to gain control over 100 per cent. of shares and votes in Grechetto and through this indirectly takeover Litera. This will allow the Company to consolidate Grechetto and Litera and thereby the Fontanka 57 Project, and also control decisions about its further development as well as other options.
