Do you really believe that Jan can act unilaterally? There is a formal process that involves the principal management, directors, and attorney(s) of each of the entities involved. That would include SKTO (and BB too). Allyn is the Chairman of SKTO. Benz is VP and Legal Counsel. Remember they are fiduciaries in the eyes of the law. It's an implausible assertion strectched to the breaking point that Jan could do this unilaterally. This isn't a childhood game of King of the Mountain.
