Here's one more question I forwarded to the EWSI IR for consideration in the upcoming CC.
"Assuming part of your plan is a future up list to a major venue, when should shareholders expect to see organizational changes reflecting progression and compliance. For instance, can you explain when you feel you’ll be able to meet various requirements such as Board of Director requirements (typically five (5) are required with two being independent), gross revenues, number of shareholders, and PPS? I’m sure there is a litany of requirements that we as shareholders are not aware, however, any kind of snap shot of your progression in this direction is appreciated. "
Fundamental questions should be at the root of everyone's curiosity. EWSI is growing rapidly. How are they able to grow? Well, they have access to a 5M LOC, plus they have their capital structure of 490M common plus 10M Preferred (broken down into A/B series currently). As of Jan 2nd this year, EWSI has about 262M O/S. What we need to try and understand is when and how their plan shows cash taking over most of the operating costs, rather than issuing shares for services. This is at the very heart of their ability to actually consider a venue change to a big board listing. They must become cash flow positive in a relatively short period of time, otherwise the share structure will become to bloated for those of us early to the game. We do stand to benefit handsomely even with 300 - 400M shares O/S if they can become a cash flow positive 1 - 1.5B dollar company! We just need cash flow to start taking over operating costs and growth costs.
Drill down into the fundamental side of the equation. I suggested folks start looking for hints that organizational changes are occurring that would satisfy a venue change...such as more BOD.
BOD will receive compensation like anyone else. They'll either receive cash or shares (could be Preferred shares and not common). My hope is that two Directors would come from inside the organization as they're already getting paid, while every company on the big boards has to have two completely independent BOD members.
