I've highlighted the bad news.
ATLANTA, December 9, 2013
ATLANTA , December 9, 2013 /PRNewswire/ --
Here To Serve Holding Corp., (OTC Markets: HTSC), a holding company that is positioning itself as a leader in the solid waste management and environmental services industry, as well as a Software as a Service (SAAS) development company, today announced that it has completed its long awaited two-year financial audit and will file a Form 10 Registration Statement with the U.S. Securities and Exchange Commission (SEC) to register HTSC's shares of common stock this week.
A copy of the Form 10 will be available by visiting the SEC's website ( http://www.sec.gov ) under the filer name Here To Serve Holding Corp. no later than Wednesday, December 11 th , 2013.
"Filing this registration statement is a significant step in the maturity of HTSC as we pursue the previously announced letter of intent (LOI) to acquire a significant waste management company that will add immediate profitability to HTSC. The Form 10 provides useful information to shareholders and potential investors and is an important first step toward our goal of qualifying financially for and listing HTSC on a national market such as NASDAQ or the American Stock Exchange," said Jeffrey Cosman , CEO of HTSC.
On November 18, 2012 , HTSC announced that it has signed a Letter Of Intent (LOI) to acquire a ten-year old solid waste company. With significant revenues and a profitable business, HTSC is taking action to provide full disclosure on every aspect of the company. The filing of the Form 10 Registration Statement with the U.S. Securities and Exchange Commission (SEC) is a first step. In addition, HTSC is continuing its aggressive strategy to acquire similar businesses.
In addition, HTSC is proud to announce Jim Canouse has accepted a position as EVP , with duties to include Capital Markets and the development of go-to-market strategies. "Jim has shown considerable depth during the transition of the former management team until now. I am confident Jim will excel in focusing on, and executing his duties. During the past few months, Jim had no incentive to help me understand the current product portfolio, the historical significance of what was F3 Technologies, Inc., nor the transactions which make up the historical financials needed to complete the two-year audit and subsequent Form 10. Without compensation or expectation of a position, Jim performed not only admirably but with integrity and clear direction," said Jeff Cosman , CEO of HTSC.
On April 2, 2013 , the U.S. Securities and Exchange Commission issued guidance permitting companies to use social media sites including Facebook Inc. (FB) and Twitter Inc. to communicate company announcements HTSC encourages the investment community to follow all HTSC developments as it starts its practice of releasing news and other financial and product updates on its Facebook page at https://www.facebook.com/pages/Here-To-Serve-...01?fref=ts as well as its Twitter feed at https://twitter.com/htshc .
