IC Places, Inc. was formed on March 18, 2005 as a Delaware Corporation. IC Places, Inc. engaged in the ownership and operation of a network of city-based Websites for travelers and local individuals. Its Websites provide information about hotels, restaurants, golf courses, discount event tickets, discount car rentals, discount airfare, and attraction tickets. The company’s icplaces.com website, targets tourists and travelers in the 35-54 age group, providing specific information regarding dining, lodging, entertainment and other needs, including daycare, on a city-by-city basis. The company was based in Celebration, Florida. IC Places Inc. formerly operated as a subsidiary of Graystone Park Enterprises Inc. Two of the main sources of IC Places revenue come from Local Online Advertising Sales and Online Travel Services. These are two of the Internet’s fastest growing sectors
On November 18th 2005 Graystone Park Enterprises, Inc (GPKE) acquired IC Places, Inc. and the formerly operated as a subsidiary of Graystone Park Enterprises Inc.
After the acquisition, Graystone helped with the growth of IC Places in various ways. GPKE was very instrumental in the acquisition of the IT Firm BridgerWeb ( www.Bridgerweb.com ) of Bozeman, Montana. Graystone has also provided assistance with the signing of the Acclaimed Photographer Brian B. Hayes and Celebrity Spokesperson Lisa Gleave. Graystone distributed 1 share of IC Places, Inc. for every one share of GPKE that was owned as of the record date. Once distributed the symbol ICPL was obtained for IC Places to trade under. Graystone Park Enterprises, Inc. In the Stock Exchange Agreement signed October 7th 2005, GPKE and IC Places, Inc. agreed that upon closing Steven Samblis would remain Chairman of the Board, Board member and the Board could not be changed without consent of Steven Samblis.
Both parties agreed that upon closing Steven Samblis would execute an Employment agreement and GPKE would acquire a trading symbol for IC Places within 60 day. The employment agreement was signed November 18th 2005.
The legal work on the acquisition was done by the law firm of Godwin Gruber in Dallas, Texas.
On April 30, 2009 IC Places, Inc. filed a form 10 to begin trading as a public company.
