Item 1.01Entry into a Material Definitive Agreement.
On August 15, 2012, Treaty Energy Corporation (“Treaty” or the “Company”) entered into an agreement to purchase the Madeley, Lakeshore, and Hill Leases, located in Shelby County, Texas. The seller of the leases is 3K Oil Trust.
The purchase price for the leases is $3,020,000. The transaction closed on September 5, 2012 and was funded through a combination of cash and common stock.
