Nordea Bank Finland Plc (the ”Issuer”) issues Equity Linked Notes, Aktiekupon Europa og Rusland 2018,denominated in Danish Kroner with ISIN code DK0030329578 and Common Code 099474955 (the "Notes").
The Notes are to be issued on 13 December 2013 and will be redeemed on 16 November 2018, subject to term relating to early redemption in accordance with the “Best of/Worst of Autocallable" structure. The return of the Notes depends on the performance of a basket of two (2) equity indices (the “Reference Assets”) and a coupon rate of indicative 12.10 per cent (the “Coupon Rate”).
Full information on the Issuer and the offer of the Notes is only available on the basis of the combination of the Final Terms of the Notes dated 29 November 2013 and the Base Prospectus as so supplemented.
The offer period for the Notes will take place during the period from 2 December 2013, 9:00 CET until 6 December 2013, 16.00 CET. The Aggregate Nominal Amount of the Notes and the final Coupon Rate will be determined after the subscription period and will be announced by publication of a Final Terms Confirmation Announcement through NASDAQ OMX Copenhagen A/S.
The Issuer reserves its rights to reduce subscription if market conditions do not permit the total subscribed amount to be allocated or cancel the offer if the aggregate principal amount of Notes subscribed on or before 6 December 2013 is less than DKK 50,000,000, if the Coupon Rate cannot be set at, at least 10.50 per cent, if any event of an economic, financial or political nature occurs and which may jeopardise a successful offer, as determined by the Issuer. The Issuer may also replace any of the Reference Assets at any time on or prior to Issue Date by a comparable type of underlying Reference Asset. The Notes will be issued and registered with VP Securities A/S on 13 December 2013 and be admitted to trading and official listing on NASDAQ OMX Copenhagen A/S with the first day of trading on the same day.
