Re item 1: Election of chairman of the meeting

Attorney Michael R. Skovgaard was elected chairman of the meeting. The chairman concluded that the extraordinary general meeting had been lawfully convened and constituted a quorum for the transaction of business.

Re item 2: Election of supervisory board member

Ebbe Pelle Jacobsen, Rolf Eriksen and Morten Windfeldt Jensen elected by the general meeting retired from the board.

As new members of the executive board were elected:

CEO Peter Thorsen, Kirk & Thorsen A/S

CEO Henrik Burkal, REMA 1000 Danmark A/S and Reitan Distribution A/S

Director Preben Bager (former CEO Nobia Stockholm)

Following the extraordinary general meeting, the supervisory board held its first meeting, and Viggo Mølholm was elected chairman and Peter Thorsen deputy chairman of the supervisory board.
