Tom Sterken focuses his practice on banking, corporate, and securities transactions that support clients' business strategies and growth initiatives. Prior to joining Keller Rohrback, Mr. Sterken served as General Counsel of a large regional company. He has extensive experience in business, finance, lending, and real estate matters.
Mr. Sterken’s business and finance-related experience involves public offerings and private placements of securities; corporate mergers and business acquisitions; commercial lending, leasing and securitization transactions; loan foreclosures, workouts and restructurings; franchising; general representation of firms in banking, financial, manufacturing, real estate, retail, technology and other businesses. Mr. Sterken has counseled clients in more than 100 public and private business acquisitions, including purchase of $150 million distribution business with more than 40 retail customer locations and merger of $623 million bank with 58 branches with Fortune 500 companies. He has negotiated and closed more than $700 million of financings, including initial and secondary public offerings, private placements of debt, trust preferred and equity securities, credit facilities with domestic and foreign banks, and sales of loans and receivables. Additionally, Mr. Sterken has represented entrepreneurs in organizing and raising capital for new and growing businesses, including private placement of $33 million for a $100 million ethanol plant in Eastern Washington and private placements of $20 million for specialized real estate and receivables finance companies and a retail technology company.
Mr. Sterken also has legal experience in the Real Estate sector. He has been involved in acquisitions, development, leasing, the sale and financing of commercial real estate; sale/leasebacks; build-to-suits for bank branches and retail stores; construction and permanent financing; syndications. He has achieved workouts of numerous retail, apartment, condominium, office, subdivision and other construction and development loans. Mr. Sterken has also sourced, negotiated and closed $10.5 million and $15 million HUD refinancings of senior care facilities in New Mexico and Arizona, and a $8 million conduit refinancing of a senior care facility in Washington.
