Ludwig Georg Braun, Ilona Braun, Martin Lüdicke, B. Braun Holding GmbH & Co. KG, Braho Verwaltungsgesellschaft mbH and Ludwig G. Braun GmbH & Co. KG (collectively 'Braun Melsungen') together control 10.98% of all shares in RH�N-KLINIKUM AG. According to the current articles of association of the Company, Braun Melsungen now holds a blocking minority with respect to all resolutions of the annual general meeting that require a qualified majority of more than 90% of all votes cast. The procedure for entry into the commercial register of the amendment of the articles of association regarding the deletion of the 90% clause is still pending before the commercial register. The resolution of the annual general meeting regarding the amendment of the articles of association is challenged in court. In addition, the Company was informed today that Braun Melsungen intends to further increase its minority stake in the Company within the next twelve months and to obtain a representation on the supervisory board of the Company. In respect of the two vacancies on the supervisory board are various candidates proposed. A decision is still outstanding. The formal implementation of the transaction ratified between the Company and Fresenius/HELIOS on 13 September 2013 regarding the sale of 43 clinics and affiliated companies continues running as planned. The corresponding concentration on top class full service medical services strengthens the business model in a sustainable way and makes it possible to increase the mid-term profitability of 'new RH�N' significantly.
