East Capital Explorer AB - Nomination Committee fo

In accordance with the decision by the Annual General Meeting (AGM) in April 2013, East Capital Explorer shall have a Nomination Committee consisting of a minimum of three and maximum of five members, of which up to three members shall be appointed by the three shareholders (or group of shareholders) controlling the largest number of votes in the company that wish to appoint a representative. The other members of the committee are the Chairman of the Board of Directors and a representative from East Capital. The members of the Nomination Committee have now been appointed based on the ownership structure as of 31 August 2013. Peter Elam Håkansson, East Capital is Chairman of the Committee. The other owner representatives are Pia Axelsson, The Fourth Swedish National Pension Fund and André Vatsgar, Danske Capital. The Committee also includes Paul Bergqvist as Chairman of the Board of Directors of East Capital Explorer and Louise Hedberg as a representative for East Capital. The role of the Nomination Committee is to present proposals to the AGM 2014 on issues including chairman of the meeting, members of the Board of Directors and chairman of the Board. The Nomination Committee shall also propose remuneration to the members of the Board of Directors and remuneration for any committee work as well as propose the process for electing a Nomination Committee prior to the AGM 2015.
