Below is an email from Dr Russell, CEO of $NEIK with a summation of the future for Northstar Electronics!
NEIK expects financial improvements after the sale closes, from three main sources.
a) One is the 4M warrants NEIK will have in the buyer's public company. We expect the exercise of some of these warrants will deliver funds soon after the closing, with more ongoing, assuming the market for the buyer's stock is strong.
b) The second source is equity investment into NEIK. We believe that investors will be interested when they see the clear picture of what NEIK is as a company, ie. it will consist of Echotec Sonar, initially, and the near term prospect of the acquisition of a mature, high revenue, profitable company.
c) The NEIK debt will be reduced by approximately $3M post closing.
- Echotec Sonar:
a) Started by former senior Lockheed Martin sonar specialists
b) Advanced High Definition, 3D sonar, easily adapted to different applications through software modifications
c) Target Markets
i) Navies-obstacle avoidance, mine detection, anti-terrorsism
ii) Ports and Harbours-anti-terrorism
iii) Large ocean going ships-obstacle avoidance, mine detection in hostile regions, anti-terrorism
iv) Cruise ships-obstacle avoidance
v) Commercial fishing industry- species indentification
d) First product launch expected by end of 2012
e) Methodolgy: Core technology group feeds into three development/commercialization groups.
- Naval and Ports; Large Ocean Ships and Cruise Ships; Commercial Fishing.
Marketing/Sales broken into same three groupings
f) expected solid, increasing revenues over the next five years and beyond
- Next Acquisition:
Criteria for potential targets include:
a) synergy with existing NEI business, in either markets and/or technologies
b) in defense, Homeland Security, commercially compatible sectors
c) existing, solid revenue stream with verifiable strong growth
d) proftable
e) leading edge technology oriented companies high priority
- Customer Relationships:
a) the company has a lengthy history working with different divsions of Lockheed Martin. The CEO of NEI, in particular, has worked closely with senior people at Lockheed Martin on securing certain large defense projects in Canada. NEI has carried out contracts for Lockheed Martin to build submarine command and control consoles, to manufacture parts for the P3 airplane refurbishment, and for the development and production of the sonar hardware for an anti-terrorism system for the protection of navy ships
b) NEI has won contracts, as well, from a division of L3 Communications and has developed good business connections with other prime defense contractors in North America and in the U.K.
c) NEI intends to utilize its relationships to build business in the new areas going forward for both Echotec Sonar and any new acquisition.
- Future:
With an innovative, high energy, growing Echotec Sonar coupled with a mature revenue producing company with strong growth, NEI expects a bright future.
