Information of acquisition of holdings in company

Tallinn, 2013-10-04 12:55 CEST (GLOBE NEWSWIRE) -- AS Pro Kapital Grupp management board announces that on 03.10.2013 its 100% subsidiary AS Pro Kapital Eesti acquired an additional holding in its subsidiary AS Täismaja. The main field of activity of AS Täismaja (formed business name AS Kristiine Kaubanduskeskus) is financing of group companies. Main terms of the acquisition were as follows: 1.    AS Pro Kapital Eesti acquired 100 shares of AS Täismaja, which represent 0,00039% of all shares of AS Täismaja (total number of shares of AS Täismaja is 25 500 000). 2.    Shares were acquired from the minority shareholder by takeover by the majority shareholder in return for fair monetary compensation. 3.    The transfer of the shares and payment for the shares took place on 03.10.2013. 4.    497 Euros were paid for the shares. 5.    As the result of the acquisition AS Pro Kapital Eesti participation in the share capital of AS Täismaja increased from 99,99961% to 100%. The transaction does not have a significant effect on AS Pro Kapital Grupp. 6.    The purpose of the acquisition is to conduct the merge of AS Pro Kapital Eesti and AS Täismaja during the financial year of 2014, as a result of which AS Täismaja shall be merged with AS Pro Kapital Eesti. 7.    Transaction is not considered a transaction with connected persons and members of the supervisory board and management board of AS Pro Kapital Grupp and its subsidiaries are otherwise personally not interested in the transaction.
