POET Completes Acquisition of Super Photonics
TORONTO, (GLOBE NEWSWIRE) -- POET Technologies Inc. ("POET" or the "Company") (TSX Venture: PTK; NASDAQ: POET) has officially wrapped up its acquisition of Super Photonics Integrated Circuit Xiamen Co., Ltd. ("SPX"). This significant move marks the Company's full ownership of SPX, acquiring all outstanding minority equity interests previously held by Quanzhou San'an Optical Communication Technology Co., Ltd. ("SAIC"). This acquisition not only strengthens POET's control over its operations but also enhances its market presence in the optical technologies sector.
The Strategic Importance of SPX
The operation at SPX is crucial for POET, especially following their recent agreements with Globetronics Manufacturing Sdn. Bhd to produce optical engines in Malaysia. The collaborative production efforts will exceed one million optical engines annually, specifically designed for the high-speed transceivers that support AI clusters.
POET will continue the assembly of these engines at the current SPX facility until a new location is announced. There are also plans to rebrand SPX, integrating it as a subsidiary under the POET umbrella, which may include merging operations with its existing wholly owned foreign enterprise, POET Optoelectronics Shenzhen Co. Ltd.
Leadership Insights on the Acquisition
Dr. Suresh Venkatesan, Chairman & Chief Executive Officer of POET, expressed satisfaction regarding the conclusion of this acquisition. He stated, "We can now present one face to our customers in China and fully implement our ‘China Plus One' strategy. This not only allows us to consolidate our financial results but also helps maintain strong relationships with our partners in the region."
This acquisition was executed under an equity transfer agreement for a total of US$6.5 million, payable over five years. The first payment will be made in October 2025, with subsequent annual payments increasing in size until the final installment in 2029. An interesting aspect of this deal is the provision that allows portions of the purchase price to be converted into POET's common shares under specific conditions.
Enhancing Production Capabilities
In conjunction with the acquisition, POET has finalized an equipment purchase agreement to acquire production equipment leased to SPX. This transaction involves a cash consideration of US$3.8 million, which will be paid in four installments over one year. This acquisition is poised to strengthen POET's manufacturing capabilities.
