"For the purchase of Cinco Minas, the Company (SRGE) issued to 2 individuals (their names are in the filings) 400MM shares of SRGE each. They were former owners of Cinco Minas. What happened was those two individuals tendered their shares --800MM total--to Novamex. In this context, Novamex should not be understood as a company. Novamex is a Trust that was formed to prevent independent actions resulting from dissent amongst majority shareholders or collusion by one beneficial owner with future beneficial owners."
