Update of Proceedings

The Company has received a notice dated July 25, 2012 from Mercer Gold Corp. (British Columbia) purporting to terminate the Mineral Assets Option Agreement dated for reference April 13, 2010 (the "Option Agreement") by and between Mercer BC and Tresoro with respect to the Guayabales Property. The purported termination is without foundation in fact and law and is without merit. The Company will, as it has in the past, vigorously defend its rights and interests and pursue its remedies under the law.
